Terms of Service
These terms cover your account, this website and any Pro subscription. The Chestnut desktop application is covered by the software licence, and what we collect is set out in the privacy policy.
CHESTNUT TERMS OF SERVICE
Version 1.2
Effective 22 October 2026
YOUtility Apps Inc.
70 Melvin Robson Avenue, Unit 2
Aurora, Ontario L4G 4B8, Canada
1. WHAT THESE TERMS COVER
These terms are between you and YOUtility Apps Inc. ("we", "us"), and they
cover our website, your Chestnut account, and any Chestnut Pro subscription
you buy (together, the "Service").
They do not cover the Chestnut application itself. That is covered by the
Chestnut Software Licence. If you both hold an account and use the app, both
agreements apply, each to its own subject.
By creating an account you agree to these terms. If you do not agree, do not
create one.
2. YOUR ACCOUNT
You do not need an account to use the free application. An account is needed
for Chestnut Pro, for test builds, for sending us feedback privately, and for
any download we offer only to account holders. When you are signed in, the
app uses your account to tell whether you are on the free tier or on Pro.
You must be old enough to enter a contract where you live. Give us accurate
details and keep them current. You are responsible for what happens under
your account and for keeping your sign-in credentials secure. Tell us
promptly if you believe someone else has used your account.
One account belongs to one person. Do not share it.
3. FREE AND PRO
Chestnut is free to use for non-commercial work, as the Software Licence
describes. A Pro subscription is required for commercial use. Pro needs an
account and is paid; the free tier needs neither.
Pro also includes early access to new releases and support by email. It does
not unlock features: the application is the same either way. We say this
plainly because we would rather you knew before buying than felt misled
after.
We do not inspect how you use Chestnut, and the application does not report
your work to us. Which side of the line you are on is yours to judge
honestly.
4. PAYMENT AND RENEWAL
Pro costs the amount shown on our pricing page at the time you subscribe,
per person. You choose a monthly or a yearly billing period at checkout, and
each is billed in advance for the period ahead. Prices are in the currency
shown at checkout and exclude any tax we are required to collect, which is
added at checkout.
Payments are handled by our payment processor. We do not store your card
details.
Your subscription renews automatically at the end of each billing period, at
the then-current price, until you cancel. If we change the price, we will
tell you before the change takes effect, and the new price applies from your
next renewal. If you do not want to continue at the new price, cancel before
that renewal.
If a trial is offered, we will tell you its length and when it converts to a
paid period. Unless you cancel before the trial ends, it becomes a paid
subscription and the first charge is taken then.
If a payment fails we may retry it and may suspend Pro until it succeeds.
5. CANCELLING
You can cancel at any time from your account page on our website, without
contacting us and without giving a reason.
Cancelling stops the next renewal. Your Pro access continues to the end of
the period you have already paid for, and then your account returns to the
free tier. Your account and its data are not deleted when Pro ends.
To delete your account entirely, use the account page or ask us. Deleting
your account ends Pro straight away rather than at the end of the period. If
the charge for that period was taken within the last thirty days, section 6
still applies and you can ask for it back.
6. REFUNDS
If Pro is not what you expected, write to us within thirty days of a charge
and we will refund it. We would rather refund you than hold money from
someone who does not want the product.
On a monthly charge that is the whole charge. On an annual charge we refund
the unused part of the year, counted from the day you ask. It makes no
difference whether you cancelled, let the subscription run on, or deleted
your account.
To ask, use the contact page on our website. We do not need a reason.
This is in addition to any refund or cancellation right you have under
consumer protection law, which we do not limit.
7. ACCEPTABLE USE
Do not use the Service to break the law, to infringe anyone's rights, or to
attack, probe, or overload our systems or anyone else's. Do not attempt to
gain access to parts of the Service you have not been given access to, and
do not resell access to the Service.
8. YOUR DATA
Your Chestnut history stays on your own computer. The Service holds only
what it needs to run your account: your sign-in details, your subscription
status, and billing records held by our payment processor.
If you turn on optional features such as crash reporting, or send us
feedback, we receive what those features send. Our Privacy Policy sets out
what we collect, why, and how long we keep it, and it governs that subject
rather than these terms.
You keep ownership of everything you create with Chestnut. We claim no
rights in it.
9. AVAILABILITY AND CHANGES TO THE SERVICE
The Service is offered as it is. We do not promise any level of uptime, and
we may change, suspend, or withdraw parts of the Service.
If we withdraw something you are paying for, you may cancel and we will
refund the unused part of your current period.
10. CHANGES TO THESE TERMS
We may update these terms. If a change materially affects you, we will tell
you by email or in the app before it takes effect, and it will apply from
your next renewal. Continuing to use the Service after that means you accept
the updated terms. If you do not, cancel.
The version and effective date at the top identify which terms applied when.
11. SUSPENSION AND TERMINATION
You may stop using the Service at any time.
We may suspend or close your account if you materially breach these terms,
if we are required to by law, or if your use threatens the Service or other
people using it. Unless the law requires otherwise, or the breach makes it
impossible, we will tell you why and give you a reasonable chance to put it
right first.
If we close your account for a reason that is not your breach, we will
refund the unused part of your current period.
12. NO WARRANTY
The Service is provided as it is and as available, without warranty of any
kind, whether express or implied, including any implied warranty of
merchantability, fitness for a particular purpose, or non-infringement. We
do not warrant that the Service will be uninterrupted, secure, or
error-free.
13. LIMIT ON OUR LIABILITY
To the extent this limit is permitted, our total liability to you under or
in connection with these terms will not exceed the amount you actually paid
us in the twelve months before the claim arose. We are not liable for lost
profits, lost data, or indirect, incidental, special, or consequential loss.
14. YOUR CONSUMER RIGHTS
Sections 12 and 13 do not apply to the extent they would limit rights you
have under the Consumer Protection Act, 2002 of Ontario, or under any other
consumer protection law of Ontario or of Canada, that cannot lawfully be
excluded or limited. Where such a law applies to you, those rights stand and
these terms are read subject to them.
Nothing in these terms requires you to arbitrate a dispute, prevents you
from taking part in a class proceeding, prevents you from bringing a claim
in the Superior Court of Justice, prevents you from complaining to a
regulator, or prevents you from publishing a review of Chestnut or the
Service.
15. GOVERNING LAW
These terms are governed by the laws of the Province of Ontario and the laws
of Canada that apply there, and the courts of Ontario have jurisdiction. If
you are a consumer resident elsewhere, this does not take away the
protection of the mandatory law of the place where you live.
If any part of these terms is found to be unenforceable, that part is
severed and the rest continues to apply.
